Carol Hansell

Carol Hansell was appointed to the Board of Directors of the Bank of Canada in October 2006.

Born in Hamilton, Ontario, Ms. Hansell received a BA in History from the University of Western Ontario in 1981, an MA in International Relations from the University of Toronto in 1982, as well as an LLB from Osgoode Hall Law School and an MBA from the Schulich School of Business at York University in 1986. She is a member of the bar in Ontario and in New York.

Ms. Hansell is a senior partner at Davies Ward Phillips & Vineberg LLP, where she practises corporate, commercial, and securities law, and is an internationally recognized expert in corporate governance. She advises public and private companies on a variety of transactional and other business issues. Her work with boards and management teams includes advice in respect of complex governance challenges, corporate investigations, conflict of interest issues, and disclosure matters. She is the Chair of the Corporate Governance Committee of the American Bar Association (Business Law Section) and Special Canadian Advisor to the Committee on Corporate Laws.

Ms. Hansell is an experienced director who has served on the boards of publicly traded companies, Crown corporations, and not-for-profit organizations. Currently, in addition to the Bank of Canada, she serves on the Board of Directors of the Toronto East General Hospital. She is the Chair of the Board of Directors of the Canadian Foundation for Governance Research, and of the Ontario Hospital Association Governance Leadership Council. She is a Past Director and Vice Chair of the Institute of Corporate Directors and the Immediate Past Chair of the Securities Advisory Committee, which provides advice and assistance to the Ontario Securities Commission. Ms. Hansell is also a member of several advisory boards.
